OF THE ESSENCE

A requirement of a contract that is essential or of vital performance. For example, time is of the essence means that the other party is aware that performance must be made as soon as possible and that it is a fundamental reason why the other party is entering the contract. Small delays may be considered a breach of contract under such terms.
