A corporate document which sets forth the manner in which the company deals with activities with the world at large. This term is generally used in the United Kingdom and is called the “articles of incorporation” in the United States. The memorandum of association sets forth the objectives of the company, the number of authorized shares of stock, the liability of its members and the types of agreements in which the company is permitted to engage.
