Usually nonbinding, a letter which contains all the essential points of agreement between two or more entities, usually signed and with a clause that the LOA is nonbinding and will be formalized in a structured agreement. Similar to a formalized term sheet, the LOA is a point of agreement and sign of good faith attempts to move forward on a business agreement.
